1. Who this agreement is with, and acceptance
These Terms of Service ("Terms") are a legal agreement between you ("you," "customer") and Shirman LLC, doing business as AutoGP ("AutoGP," "we," "us"), governing your use of the AutoGP Chrome extension, the AutoGP web dashboard at autogp.ai, and any related services (together, the "Service"). By creating an account, installing the extension, or using the Service in any way, you agree to these Terms. If you don't agree, don't use the Service.
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Service.
2. What AutoGP is
AutoGP is a browser-extension-based automation tool that helps you post content to Facebook groups you already belong to, using your own logged-in Facebook session inside your own browser. AutoGP is not a Facebook or Meta product, is not affiliated with or endorsed by Meta Platforms, Inc. in any way, and does not operate independently of your browser — it runs your own browser session, using your own account. See Section 6 for the risk this carries and Section 3 for what that means for how you may use it.
3. Your account and acceptable use
3.1 Account accuracy. You agree to provide accurate information when creating an account and to keep your login credentials confidential. You're responsible for all activity that happens under your account.
3.2 Your Facebook account, your responsibility. AutoGP posts using your own Facebook session — it never asks for, stores, or has access to your Facebook password. You are solely responsible for the content you choose to post, the groups you choose to post it to, and compliance with Facebook's own Terms of Service and Community Standards, which are separate from and independent of these Terms. AutoGP does not review, approve, or take responsibility for the content you post.
3.3 Prohibited uses. You agree not to use the Service to:
- Post content that is illegal, fraudulent, deceptive, or infringes another person's rights (intellectual property, privacy, or otherwise);
- Post spam, malware, phishing links, or content designed to deceive or harm recipients;
- Circumvent, disable, or interfere with security features of the Service or of Facebook;
- Resell, sublicense, or provide the Service to third parties without our written permission;
- Reverse-engineer, decompile, or attempt to extract the source code of the extension, except where applicable law expressly permits it;
- Use the Service in a way that violates any applicable law or regulation.
3.4 Suspension. We may suspend or terminate your account if you violate these Terms, without prejudice to any other remedy available to us.
4. Subscription plans, billing, and cancellation
4.1 Plans and Facebook accounts. AutoGP offers a free tier (25 total posts, a lifetime allowance that does not renew or reset; with no payment card needed; Section 4.9 describes the few accounts whose free posts were set up with a saved card) and three paid plans. Every plan, the free tier included, includes every feature of the Service; the paid plans differ in how many posts they allow and how many Facebook accounts they may post as. The paid plans are billed monthly or yearly (the yearly price billed upfront for the year) at the price shown on the pricing page for your location when you subscribe. In the United States, Canada, the United Kingdom, the European Union and similar markets those prices are: Pro, up to 970 posts a month from one Facebook profile plus one Page, $29/month or $229/year; Business, up to 5,000 posts a month from up to 3 Facebook accounts, $49/month or $379/year; and Agency, with no monthly post limit, from up to 10 Facebook accounts (or more if we agree it with you in writing), with separate client spaces and per-client reports, $119/month or $929/year. Some other countries pay a lower price. Prices are in US dollars, and the price of an existing subscription doesn't change if you move. Pricing may change prospectively; we'll give you the notice required by Section 4.5 below before any change affects an active subscription.
A "Facebook account" means each Facebook profile or Page the Service posts as. Accounts are counted per billing month, from the first post each one makes in that month: on Pro, your accounts are one profile plus one Page; on Business, the 3 may be profiles or Pages in any mix, and on Agency, the 10 may be profiles or Pages in any mix. Your plan belongs to your AutoGP login, on any computer paired to it. Removing an account on your dashboard frees its place at once, but that account can't be posted as again until your next billing month. A monthly post allowance starts over each billing month and doesn't carry over, and only posts that go through count towards it. "No monthly post limit" is not unlimited posting: on every plan, each Facebook account keeps the daily limits and pacing the Service applies for safety (Section 6), and no Facebook account posts more than 200 times in a day.
If you use the Service to post as a Facebook profile or Page that belongs to someone else, such as a client, you confirm that its owner has authorised you to post as it on their behalf, and you are responsible for everything the Service posts for you there, under these Terms (including Section 3) and Facebook's own terms, as if you had posted it yourself.
4.2 Payment authorization and auto-renewal. By subscribing to a paid plan, you authorize us (through our payment processor, Stripe) to charge your payment method on a recurring basis — monthly or annually, matching your chosen plan — until you cancel. Your subscription renews automatically at the end of each billing period unless you cancel before the renewal date. This is a clear, affirmative disclosure of the auto-renewal terms as required by applicable law (including the U.S. Restore Online Shoppers' Confidence Act, California's Automatic Renewal Law, and the EU's automatic-contract-renewal rules) — by clicking "Subscribe" you are expressly consenting to this recurring charge, separate from your general acceptance of these Terms.
4.3 How to cancel. You can cancel anytime from the billing page of your dashboard using a direct, always-visible cancellation control — cancelling takes no more steps than subscribing did. Cancellation stops future renewal charges; it does not refund the current billing period already paid for, apart from the 7-day money-back guarantee on a first payment (see 4.4 and 4.8). Once cancelled, you keep your paid plan until the end of the period you already paid for, then drop to the free tier (with your free-tier allowance already used, per 4.1).
4.4 No refunds for Facebook account restrictions. As stated in Section 6, using AutoGP carries an inherent risk that Facebook may limit, restrict, or suspend the Facebook account you use it with. This is a disclosed risk you accept by using the Service, and it is not grounds for a refund of any subscription fee, whether the restriction happens during a free or paid period. This does not limit the 7-day money-back guarantee on a first payment in Section 4.8.
4.5 Price changes and renewal reminders. For annual subscriptions, we'll send a reminder notice before each renewal, consistent with applicable automatic-renewal laws. If we increase the price of your plan, we'll notify you at least the number of days in advance required by applicable law (currently up to 30 days under California's Automatic Renewal Law) before the new price takes effect on your next renewal; continuing your subscription after that notice period constitutes acceptance of the new price.
4.6 EU/UK withdrawal right. If you are a consumer in the EU or UK, you generally have a 14-day right to withdraw from a new subscription without giving a reason. By using the Service (i.e., authenticating and posting) before the 14 days are up, you acknowledge that you are asking us to begin the service immediately and, once the Service has been fully performed for a billing period, you lose the right to withdraw for that period, to the extent permitted by applicable law.
4.7 Failed payments. If a renewal charge fails, we may retry it, downgrade your account to the free tier, or suspend your paid plan until payment succeeds, and will notify you at the email on file.
4.8 Refunds and the 7-day money-back guarantee. Your first payment for a paid plan is covered by a 7-day money-back guarantee, however you bought it (on our website, from an offer page, from the extension, or from any other link): if you ask within 7 days of that payment, we refund all of it, for any reason, and you don't need to explain why. To ask, email support@autogp.ai from the address on your account (or the address you bought with). We refund the full amount to the payment method you used, normally within 5 business days of your request (your bank may take longer to show it), and cancel the subscription so it doesn't renew. The guarantee applies once per customer, to the first payment of a paid plan; it doesn't apply to renewals or to later plan changes. Unlike Section 4.4, it applies even if Facebook restricted your account. Other payments, including renewals, are non-refundable, except where the law requires a refund (such as the withdrawal right in 4.6). We may, at our sole discretion, grant a full or partial refund or a credit in another individual case; doing so once does not oblige us to do it again, for you or anyone else. If you paid for a plan before 25 October 2026 and the 14-day money-back guarantee these Terms offered then applied to your first payment, it still applies to that payment.
4.9 The free trial, with or without a card. This section applies to accounts created under a version of these Terms that includes it. Accounts created from 16 October 2026 never need a payment card for the free tier's 25 posts, wherever you sign up from, and follow (a). Only accounts created from 7 to 15 October 2026 could need one, as (b) describes; that was decided once, at sign-up, and recorded on the account.
(a) Without a card. Your 25 free posts start as soon as your account is created, and no card is asked for. When they are used up, you can choose a paid plan at the price shown for your location. Nothing is charged unless you do.
(b) With a saved card. If your account was created from 7 to 15 October 2026 in a country that was not offered a lower regional price, or where we couldn't tell your country, the free tier's 25 posts start once you save a payment card on your dashboard. Saving it charges nothing. When 5 of your free posts are left, we email you a reminder. After your last free post, the next posting run you start begins a Pro subscription, billed monthly at the monthly Pro price shown when you saved the card ($19/month, the price shown then), charged to that card, and renewing every month under 4.2 until you cancel under 4.3. By saving the card, you expressly agree to that charge. To stop it, choose "Don't switch me to Pro" on your dashboard at any time before then: the card is removed, nothing is charged, and you keep the free posts you have left. If the charge fails, your account stays on the free tier and we may try the card again later.
(c) One set of free posts per Facebook account. This paragraph applies to every free account, whenever it was created. The free posts are counted for the Facebook account you post from as well as for your AutoGP account. Once a Facebook account has used its free posts, through any AutoGP account, including one since deleted, it gets no more free posts through another AutoGP account; to keep posting from it, choose a paid plan. Creating further AutoGP accounts to get more free posts is not allowed.
4.10 Bonus posts. Some things you do with the Service, such as reaching a trophy milestone shown in the extension, can add bonus posts to your account. Each trophy adds its bonus posts once per AutoGP account, and only when our own records of the posts your account made bear it out. On the free tier, a trophy's bonus posts are added once your account is first on a paid plan; instead, once your account has tried its first 10 free posts (whether or not they went through), it gets 10 more free posts, once. Bonus posts never expire, and on a monthly plan they are used once that month's posts run out. They have no cash value, can't be transferred or exchanged for money, and aren't refunded or credited if you cancel, downgrade or close your account. We may change or end trophy rewards for the future without taking away bonus posts already added. Bonus posts added by mistake, or gained through activity that breaks these Terms (including 4.9(c)), may be removed.
5. Intellectual property
The AutoGP extension, dashboard, branding, and underlying software are owned by Shirman LLC and protected by copyright and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service for your own business purposes while your account is active. You retain all rights to the content you create and post through the Service.
6. Facebook account risk — disclaimer and pacing guidance
AutoGP is an independent tool and is not affiliated with, endorsed by, or operated by Meta or Facebook. Using AutoGP to post in Facebook groups carries some risk that Facebook may limit, restrict, or suspend the account you use it with — this risk exists with any tool that automates posting, and no software can eliminate it. Shirman LLC is not responsible or legally liable for any restriction, suspension, or ban Facebook applies to your account as a result of using this software, and this is not grounds for a refund.
To reduce that risk: how much an account can safely post depends heavily on its age and history. As a general guide, a brand-new Facebook account should stay under roughly 5 posts a day, increasing gradually over about two months; an account more than two years old with regular normal activity can typically sustain 90–100 posts a day. These are general guidelines based on how Facebook's own systems tend to behave, not guarantees — actual safe limits vary by account, and AutoGP's default settings are built to err conservative, but the final volume and pace is your decision to make and your risk to carry.
7. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DON'T GUARANTEE THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY POST WILL BE ACCEPTED BY FACEBOOK OR ANY GROUP'S ADMINISTRATORS.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHIRMAN LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE — INCLUDING, WITHOUT LIMITATION, ANY RESTRICTION OR BAN OF YOUR FACEBOOK ACCOUNT. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE.
Some jurisdictions don't allow the exclusion of certain warranties or the limitation of certain damages, so some of the above limits may not apply to you.
9. Indemnification
You agree to indemnify and hold Shirman LLC harmless from any claim, loss, or expense (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of Facebook's own terms of service.
10. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access for violation of these Terms, non-payment, or if required by law. Sections 4.4, 6, 7, 8, and 9 survive termination.
11. Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, U.S.A., without regard to conflict-of-law principles. Any dispute will be resolved in the state or federal courts located in Wyoming, and you consent to that jurisdiction.
12. Changes to these Terms
We may update these Terms from time to time. If we make a material change, we'll notify you (email or an in-product notice) before it takes effect. Continued use of the Service after a change takes effect constitutes acceptance.
